By accepting delivery of any product delivered from Digital Dimensions Inc., of Oklahoma, DBA MD Tronics(tm), by you ("Customer") agree to be bound by the terms and conditions listed below. You and Digital Dimensions agree that the following terms and conditions are the exclusive terms governing the sales transaction between Customer and Digital Dimensions. Any attempt to alter, supplement, modify or amend these terms and conditions by the Customer will be considered a material alteration of this agreement and, therefore, are null and void. In addition, these terms and conditions are subject to change at any time, without prior written notice. Therefore, please check these terms and conditions carefully each time you place an order with or accept delivery of any goods from Digital Dimensions. Digital Dimensions SATISFACTION GUARANTEE - Digital Dimensions offers our customers a 30-day satisfaction replacement or refund guarantee on all purchases, with the exception of items listed below. Further, all returns are subject to the Product Return Procedures as stated here.
There is no replacement or refund guarantee of any kind for any retail package processors, customized orders, custom kits, or software. There is likewise no replacement or refund guarantee covering any product that is affected by any "Year 20xx" compliance problem.
Digital Dimensions is a distributor only. Products sold by Digital Dimensions are not manufactured by Digital Dimensions. The products may, however, be covered by each manufacturer's warranty, service, and support policy (if any). Digital Dimensions assigns and passes through to the Customer any warranty of the manufacturer, and Customer acknowledges that it shall have recourse only under such warranties and only as against the manufacturer of the products. Digital Dimensions MAKES NO REPRESENTATION OR EXPRESS WARRANTY WITH RESPECT TO THE PRODUCT EXCEPT THOSE STATED IN THIS DOCUMENT. Digital Dimensions DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO ANY SUCH PRODUCT, INCLUDING AND WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTIES ARISING FROM STATUTE, TRADE USAGE, COURSE OF DEALING, OR COURSE OF PERFORMANCE.
IN ALL CIRCUMSTANCES DIGITAL DIMENSIONS MAXIMUM LIABILITY IS LIMITED TO THE PURCHASE PRICE OF THE PRODUCTS SOLD. DIGITAL DIMENSIONS SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE UPON A CLAIM OR ACTION IN CONTRACT, TORT, INDEMNITY OR CONTRIBUTION, OR OTHER CLAIMS RELATING TO THE PRODUCTS IT SELLS WHICH EXCEEDS THIS LIABILITY LIMIT. DIGITAL DIMENSIONS SHALL NOT BE LIABLE FOR THIRD PARTY CLAIMS FOR DAMAGES AGAINST THE CUSTOMER, OR FOR MALFUNCTION, DELAYS, INTERRUPTION OF SERVICE, LOSS OF BUSINESS, LOSS OR DAMAGE TO EXEMPLARY DAMAGES, WHETHER OR NOT DIGITAL DIMENSIONS IS APPRISED OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES.
Payment Terms; Orders:
An order is not binding upon GalaxyTorn until it is accepted; Digital Dimensions must receive payment before it will accept an order. Payment for product(s) ordered is due prior to shipment. Customer can make payment by credit card, or some other method prearranged with Digital Dimensions. You agree to pay the amount(s) due as specified on the invoice.
Your total cost for purchase of any product will include shipping and handling charges shown on the Digital Dimensions invoice.
Title; Risk of Loss:
Digital Dimensions will arrange for shipment of ordered product(s) to the Customer, Free On Board (F.O.B.) shipping point, meaning title to the product(s) -- excepting software-- and risk of loss passes to the Customer upon delivery to the carrier. Digital Dimensions reserves a purchase money security interest in the product(s) until its receipt of the full amount due. Customer agrees to allow Digital Dimensions to sign appropriate documents on Customer's behalf to permit Digital Dimensions to protect its purchase money security interest. Title to software will remain with the licensor(s). All software is provided subject to the license agreement of the software maker. Customer agrees to be bound by any software license agreement once the seal on the package is broken. Digital Dimensions will advise Customer of estimated shipping dates, but Digital Dimensions will, under no circumstances, be responsible for delays in delivery, and associated damages, due to events beyond its reasonable control, including without limitation, acts of God or public enemy, acts of federal, state or local government, fire, floods, civil disobedience, strikes, lockouts, and freight embargoes.
Governing Law and Jurisdiction:
Any dispute arising out of or related to these Terms and Conditions or the sales transaction between Digital Dimensions and Customer shall be governed by the laws of the State of Oklahoma, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. Digital Dimensions and Customer consent to the exclusive jurisdiction and the venue of the State Courts of the State of Digital Dimensions to resolve any dispute between them related hereto, and the parities waive all rights to contest this exclusive jurisdiction and venue of such Courts. Finally, the Customer also agree not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against Digital Dimensions that is more than one year after the date of the applicable invoice.
If any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under applicable Oklahoma law.
The failure of either party to require performance by the other party of any provision of this agreement shall not affect in any way the first party's right to require such performance at any time thereafter. Any waiver by either party of a breach of any provision in this agreement shall not be taken or held by the other party to be a continuing waiver of that provision unless such waiver is made in writing.
These terms and conditions, together with the GlaxyTron's invoice respecting the products ordered by Customer, are the complete and exclusive agreement between Digital Dimensions and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between Digital Dimensions and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.
The following information describes our policy as applied to sales, all potential customers should read these this before making a purchase. When a customer purchases a product or service from Digital Dimensions they automatically agree and become bound to the terms even if they have not read them.
We offer both online and toll free purchasing via credit card. We also except online checks and direct deposit transactions using PayPal.
Orders placed on-line using PayPal as a method for transaction will generate an e-mail to the customer confirming the order. We will then also confirm the order via e-mail or phone within 48 hours.
Prices, services and availability of products are subject to change at any time and without notice. It is our goal to offer a wide range of products from standard to cutting edge technology. We also try offer products and services at a reasonable market price. Prices on this web site are current in real time per session. Price quotes obtained from this web site and saved, copied or cached are not necessarily valid. Since the computer industry is constantly and rapidly changing we take every effort to keep up with these changes.
Orders usually ship in 1 to 4 weeks, however this is subjective to certain availability and certain custom orders. Because every machine is custom built to order and we have a high standard of quality that must be achieved before shipping to our customers orders can take longer (We would rather take more time to get it right then send a customer an unsatisfactory system.) Orders can take longer to processes depending on availability of parts and/or the number of orders to fill. Prices can change at any time and schedules are subject to terms and conditions of the parcel company. Every item will always be insured.
Damages or loss of items during shipping will be covered by Digital Dimensions and a new identical product will be shipped at no cost to the customer. If a customer signs and accepts a package and determines the products is damaged then Digital Dimensions will pay to have the item shipped back to be fixed or replaced, then reshipped back to the customer at no cost.
With nearly every order the customer will receive via e-mail or telephone a tracking number and means to electronically track their order as soon as it is shipped. Information on how to track the order will be supplied at that time.
Our 30 day money back and return policy is simple, if you are not 100% satisfied with the system you receive then you have 30 days starting from the shipping date to return it. We must be contacted within the 30 day period to supply you with a RMA. You must then ship the entire system back to us within 10 days of receiving the RMA. Returns must be shipped prepaid and fully insured by the customer and include all components manuals and packaging sent. You will be credited back via your original purchase method with a full refund minus the following: shipping cost, software (including Operating System) is non-refundable, missing items, 15% restocking fee may apply. Damaged or defaced components may only be returned for a refund under special approval.
Digital Dimensions uses only new and defect free tested name brand parts. Digital Dimensions warrants the original purchaser that all components are free from defects and workmanship for 1 year (12 months) which begins upon delivery. Accessories not installed by Digital Dimensions are not covered by this warranty. Parts sent as a customer supplied item, not purchased directly through Digital Dimensions or is a special request purchase item not carried in our catalog will not be covered except for the original manufacturer's warranty. Other exclusions of this warranty include damage via shipment except to original order to recipient, damages caused by fire, fluids, impacts, lightning, inadequate electrical power usage, power surges, natural disasters, damages occurred by user modifications or tampering, improper installation, maintenance, misuse, neglect, improper environment, repair, adjustment, or installation of components and/or software not performed by Digital Dimensions.
To obtain service under this warranty call our technical support line or e-mail us. Supply your Customer ID number which is supplied in the binder shipped with your system. Our technical staff will try and aid you on the phone or via e-mail to resolve the problem. If the problem can not be resolved then the best course to satisfy the customer will be determined.
Valid warranties will have defective parts replaced with the same or equivalent part. If the customer requests different parts then they may be required to purchase them at cost.
In your documentation binder is a page labeled 'Customer Support', here you will find the toll free phone number and e-mail to use to contact our technical support staff. IMPORTANT! Also on this page is your Customer ID Number, you must supply this number to the technician when you call or e-mail. This Customer ID Number will allow us to pull up all specifications on the system sent to you so that we can assist you fully.
